TERMS AND CONDITIONS OF USE (CGU) — NOMMO “COMING SOON” WEBSITE

1.⁠ ⁠PRESENTATION OF NOMMO

Nommo is a digital platform intended to facilitate access to stock‑market investing in Morocco. The current website operates in pre‑launch ("coming soon") mode and provides informational content and, where applicable, simulated tools or waitlist sign‑up. Nommo is not a brokerage firm, does not execute orders, and does not hold client assets. Once the platform is live, certain features may be provided in collaboration with licensed brokerage partners authorized by the Moroccan Capital Markets Authority (AMMC).

2.⁠ ⁠ACCEPTANCE OF THE TERMS

Access to and use of the Nommo website located at www.nommo.ma (the "Site") and any mobile applications or services offered thereon (together, the "Services") are subject to these CGU. By accessing the Site and, where applicable, registering and checking the relevant box, the user ("User", "you") acknowledges having read and accepted these CGU in full. Additional contractual terms may apply to certain Services; they will be made available for review prior to any subscription or use and will prevail in case of conflict with this CGU.

3.⁠ ⁠DEFINITIONS

For the purposes of this CGU:
Account: the User’s personal account created to access certain Services once the transactional platform is live.
Content: all information, text, data, images, videos, software, market data, simulators, and other materials displayed on or through the Site.
Partner Broker: AMMC‑licensed brokerage firm with which Nommo may collaborate to provide transactional features.
Platform: the technology operated by Nommo enabling access to informational and, once live, transactional features via Partner Brokers.
Services: all services offered by Nommo, including pre‑launch waitlist, educational content, simulators, and, once live, features allowing Users to interact with Partner Brokers.
User: any person browsing the Site and/or using the Services.
Waitlist: pre‑launch sign‑up mechanism allowing Users to receive updates and early access notices.

4.⁠ ⁠EDITION AND HOSTING OF THE SITE

5.⁠ ⁠SITE CONTENT AND SERVICES

5.1 Nature of the Services. The Site presents Nommo’s future service offering and provides educational content and tools of an indicative nature (e.g., simulators, explainer articles). During pre‑launch, no real transactions are available. Once the platform is live, Users may access features integrated with Partner Brokers subject to additional terms, successful onboarding, and regulatory requirements (including KYC/AML).

5.2 Informational Purpose; No Advice. Nommo strives to validate information shared on the Site but provides no guarantee as to completeness, accuracy, or suitability. Information is educational and does not constitute investment advice or personalized recommendations. Users remain solely responsible for their decisions.

5.3 Third‑Party Content and Market Data. Certain data (including market prices, charts, news, and educational feeds) may be provided by third parties. Nommo is not liable for any errors, delays, interruptions, or omissions in such data.

5.4 Service Evolution. Nommo may add, modify, or remove all or part of the Site or Services at any time, without prior notice, without prejudice to already agreed contractual terms.

6.⁠ ⁠ACCESS AND SECURITY

Access to certain Services (including member areas and, once live, transactional features) may require creating an Account, providing an identifier and choosing a password in line with CNDP recommendations. The password is personal and confidential; you are solely responsible for keeping it secret and for all activities carried out under your Account. In the event of loss or theft, notify Nommo promptly at contact@nommo.ma. Unless you notify us, any connection or transmission of orders or data using your credentials will be deemed to come from you.

Nommo implements organizational, technical, and physical security measures, including encrypted communications, controlled access, and logging of sensitive access. Nevertheless, no system is perfectly secure; Users accept the inherent risks of the internet.

7.⁠ ⁠PERMITTED USE — INTELLECTUAL PROPERTY — DATA EXTRACTION PROHIBITED

All data and information present or freely accessible on the Site are intended solely for natural persons for strictly personal use through direct connection to the Site. Any other use is prohibited, notably professional or commercial use, bulk extraction, scraping, or automated collection of data. The names, images, logos, and other distinctive signs identifying Nommo and/or third parties, as well as the general structure of the Site, its editorial content, images, sounds, videos, software, databases, and all other Content are protected by applicable intellectual property laws. Nommo is the sole owner (or licensee) of the related rights. Any reproduction and/or representation, in whole or in part, without prior written authorization is prohibited and may trigger civil and/or criminal liability.

8.⁠ ⁠PERSONAL DATA PROTECTION (LAW 09‑08)

8.1 Controller. Nommo Investment, 10 Rue Chrarda Rdc, Derb Loubila, Bourgogne, Casablanca, is the data controller for processing carried out via the Site.

8.2 Categories and Sources. Depending on your interactions, we may collect: identification data (name, email, phone), contact preferences, technical data (IP address, device/browser), logs, simulated portfolio inputs, and (once live) KYC/AML and onboarding data processed with our Partner Brokers and service providers. Data may be provided directly by you, inferred from your Site usage (e.g., cookies), or transmitted by a Partner Broker (subject to legal bases and your consent where required).

8.3 Purposes and Legal Bases. Data are processed to: (i) create/manage Accounts; (ii) provide pre‑launch waitlist and communications; (iii) deliver Services (education, simulators) and, once live, facilitate onboarding and access to Partner Broker features; (iv) respond to requests; (v) ensure security/fraud prevention; (vi) measure and improve Site performance; (vii) conduct marketing with your consent where required. Legal bases include contract performance, legitimate interests (e.g., securing Services, improving UX), legal obligations, and consent (notably for marketing/cookies).

8.4 Retention. Personal data are deleted or archived five (5) years after your last interaction with our Site or Services. Archived data may be retained for up to ten (10) additional years under restricted access to comply with legal/regulatory obligations and for evidence purposes.

8.5 Recipients. Data may be shared with: (i) Partner Brokers and regulated service providers to enable onboarding, compliance (including KYC/AML), account opening, and service delivery once live; (ii) IT, analytics, and security vendors; (iii) authorities where required by law; and (iv) our professional advisers. We do not sell personal data.

8.6 Your Rights. In accordance with Law 09‑08, you have rights of access, rectification, erasure, objection, restriction, and portability, and you may define directives regarding the fate of your personal data after your death. To exercise these rights, contact contact@nommo.ma with proof of identity. In case of dispute, you may lodge a complaint with CNDP.

8.7 Data Security. We apply encryption (e.g., TLS in transit, industry‑standard encryption at rest where applicable), role‑based access controls, audits, and backups. We may undergo external audits to verify security and compliance.

9.⁠ ⁠COOKIES AND TRACKERS

We use cookies and similar technologies to enable Site functionality, measure performance, enhance security, remember preferences, and, where permitted, deliver/measure marketing. Categories include: (i) strictly necessary technical cookies (essential to navigate and use key features); (ii) performance/analytics cookies (statistics of use, error prevention); (iii) functionality cookies (e.g., language, saved inputs); and (iv) advertising/social cookies placed by third parties. Consent (where required) is collected via our consent banner and remains valid for 13 months; you can withdraw or modify your choices at any time via the cookie settings on the Site or your browser. Deactivating certain cookies may affect your browsing experience.

Third‑party tools may include, for example, Google Analytics, LinkedIn, and Meta pixels. These third parties may identify you if you are logged into their services while browsing. 10.⁠ ⁠EDUCATIONAL CONTENT, SIMULATORS, AND RISK WARNINGS

All Content (including simulators and market explainers) is provided for informational and educational purposes only and is not tailored to your situation. Past performance is not a guarantee of future results. Prices of financial instruments can fluctuate; you may lose all or part of your invested capital. Investments may be subject to market, currency, liquidity, and counterparty risks. Any simulated returns are hypothetical and may differ materially from actual outcomes.

11.⁠ ⁠COMMUNICATIONS AND MARKETING

With your consent where required, Nommo may send newsletters, product updates, early access notifications, or invitations to events by email, SMS, or phone, and may show targeted ads on third‑party platforms. You may unsubscribe at any time through the channels provided in each message or by contacting contact@nommo.ma.

12.⁠ ⁠NOTICE AND REMOVAL OF ILLEGAL CONTENT

If you believe any element or Content on the Site is illegal and/or infringes your intellectual property or other rights, please notify Nommo (Legal Department) at contact@nommo.ma or by mail to Nommo Investment, 10 Rue Chrarda Rdc, Derb Loubila, Bourgogne, Casablanca, including all relevant proof of rights. After verification, and if justified, Nommo will make reasonable efforts to promptly remove or disable access to the disputed Content. Nommo acts as an intermediary and cannot be held criminally liable for information stored on the Site absent actual knowledge of illegal activity or information or where, upon obtaining such knowledge, the information is promptly removed or access disabled.

13.⁠ ⁠HYPERLINKS

The Site may contain links to third‑party content or websites. Nommo does not control and is not responsible for their quality, accuracy, or compliance (consumer protection, pricing rules, data protection, etc.). Use of such sites is at your own risk.

14.⁠ ⁠RESPONSIBILITIES AND LIMITATIONS OF LIABILITY

14.1 Service Continuity. Given the decentralized nature of the internet, Nommo provides no guarantee of continuous, error‑free, or uninterrupted access. We may suspend access (in whole or in part) to perform corrections, updates, or maintenance without notice.

14.2 Limitation. To the fullest extent permitted by law, Nommo disclaims liability for indirect damages, including commercial, moral, or financial harm (e.g., loss of profit, data, or opportunity) arising from use or inability to use the Site. Nothing in this CGU excludes liability that cannot be excluded under applicable law.

15.⁠ ⁠REGULATORY STATUS, PARTNER BROKERS, AND COMPLIANCE

Nommo is a technology intermediary and not a broker or portfolio manager. Once live, order execution and account management are handled exclusively by Partner Brokers licensed by the AMMC. Access to transactional features will be restricted to eligible adults who successfully complete registration and required KYC/AML and compliance steps with a Partner Broker. Nommo may share necessary data with Partner Brokers and regulated providers strictly to provide the Services, in accordance with Section 8.

16.⁠ ⁠FEES AND PRICING (ONCE LIVE)

During pre‑launch, no fees are charged. Once live, any fees (e.g., brokerage commissions, platform fees where applicable) will be disclosed in a dedicated Pricing Schedule and/or in Partner Broker terms prior to any charge. Taxes, duties, and regulatory charges may apply.

17.⁠ ⁠MODIFICATIONS TO THE CGU

Nommo reserves the right to modify this CGU at any time. Changes will be communicated to Users and become effective upon publication on the Site unless a later date is specified. Continued use of the Site after changes take effect constitutes acceptance of the updated CGU.

18.⁠ ⁠ACCOUNT TERMINATION

Prior to launch, you may request removal from the waitlist or communications at any time. Once live, you may request account closure at any time through the Platform or by contacting contact@nommo.ma. Nommo may suspend or deactivate an Account in case of breach of this CGU, suspected fraud, or to comply with legal obligations.

19.⁠ ⁠APPLICABLE LAW AND JURISDICTION

This CGU is governed by Moroccan law. In the event of a dispute, the User and Nommo will seek an amicable resolution. Failing that, the dispute shall fall under the exclusive jurisdiction of the courts of Casablanca.

20.⁠ ⁠MISCELLANEOUS

Severability. If any provision is held invalid, the remainder remains in effect.
No Waiver. Failure to enforce a provision is not a waiver.
Assignment. You may not assign your rights or obligations without prior written consent from Nommo; Nommo may assign or transfer its rights/obligations in connection with a restructuring, merger, or transfer of business.
Evidence. Logs, records, and electronic communications retained by Nommo shall constitute admissible evidence.
Language. In case of discrepancy between language versions, the French version (if provided) may prevail for Moroccan courts unless otherwise required by law.
